Banking Transactions


  • Tughans advised Ulster Bank on the finance and security package provided to Botanic Inns Group, one of Northern Ireland’s major pub & entertainment chains, in connection with the acquisition of a number of licensed premises and the refinancing of the group’s existing debt.
  • Tughans’ banking department advised Resource Services Group Limited in connection with a refinancing and restructuring of the group’s debt and the funding and security package required in connection with the subsequent acquisition of Pall Mall, the UK cleaning and security services division of Carillion plc, creating the largest support services company based on the island of Ireland.
  • Tughans advised on the Northern Irish aspects of the sale and securitisation of a Barclays’ residential mortgage portfolio in connection with a significant asset backed note programme.
  • Acted for Aepona Limited on the subscription by Bluecrest Capital Finance LP for loan notes issued by Aepona Limited in aggregate value of £5 million.
  • Advised on the Northern Irish aspects of the restructure and refinancing of the group including advice as to the security structure of the deal and compliance with the financial assistance/whitewash regime in Northern Ireland.
  • Advised Taggart Holdings Ltd on the funding and security structure (involving a joint venture acquisition vehicle, senior bank debt and junior shareholders’ debt), in connection with the acquisition of a significant landbank for residential development in Northern Ireland.
  • Tughans advised Britannia Building Society on the compliance of their residential mortgage offer and security documents with Northern Ireland law.
