There are two structures which are generally adopted by foreign companies investing in Northern Ireland.

Private Limited Company

  • The private company limited by shares is the most common structure utilised by foreign investing businesses in Northern Ireland.
  • Any one person may form an incorporated company.
  • The constitution of a new company is contained in two documents - the memorandum and articles of association.

Branches

A branch is part of a company organised in order to conduct business on behalf of that company.  This means that dealings with a Northern Irish branch are effectively dealings with the company in its home state.

All limited companies incorporated outside the UK opening a branch in Northern Ireland are required to register here under the branch registration regime.
