There are two structures which are generally adopted by foreign companies investing in Northern Ireland. Private Limited Company The private company limited by shares is the most common structure utilised by foreign investing businesses in Northern Ireland. Any one person may form an incorporated company. The constitution of a new company is contained in two documents - the memorandum and articles of association. Branches A branch is part of a company organised in order to conduct business on behalf of that company. This means that dealings with a Northern Irish branch are effectively dealings with the company in its home state. All limited companies incorporated outside the UK opening a branch in Northern Ireland are required to register here under the branch registration regime.
